ANNOUNCEMENT - Globalstar, Inc.
Conversion from a limited liability company
became effective March 17, 2006
MILPITAS, Calif., March 18 2006 -
Globalstar LLC, a world leader in providing mobile satellite voice and data services to business, announced today that effective March
14, 2006, Globalstar LLC (GLLC) converted from a limited liability company into a corporation, and is now known as Globalstar, Inc.
This change occurred in accordance with a unique provision of the law of Delaware, where the company was formed in November of 2003.
The applicable statutes provide that the converted business entity continues without change other than its form of organization, and its
existence relates back to the original date of its formation. Therefore, all rights and obligations of the company as previously
organized remain in effect, including without limitation all contracts and other relationships with third parties.
Effective upon conversion, membership units of GLLC that were issued as a result of the bankruptcy of Globalstar LP and its three debtor
securities (GLP) to certain former creditors of GLP were automatically converted into Series A common stock in Globalstar, Inc.,
membership units that were issued to QUALCOMM Incorporated were automatically converted into Series B common stock, and membership units
that were issued to Globalstar Holdings LLC and Globalstar Satellite LP were automatically converted into shares of Series C common
stock. All conversions were in the ratio of one share of stock for one membership unit.
No action with respect to the conversion by holders of the former membership units is necessary. No certificates will be issued to
evidence conversion stock at this time. In addition, this stock has not been registered, and under the converted company's Certificate
of Incorporation and Bylaws these shares will remain non-transferable until registration occurs. Registration of each series of
conversion stock is required to be completed not earlier than April 14, 2006 nor later than October 13, 2006. This is a "no change"
situation from the requirements of the company's former Limited Liability Agreement.
There have been no changes to the business form or names of any Globalstar subsidiary companies such as, but not limited to, Globalstar
USA LLC and Globalstar Canada Satellite Co.
